In July of this year, DELSOL Avocats advised the SergeFerrari Group (listed on the Euronext Paris, compartment C), a leader in the design, development and manufacture of innovative flexible composite materials for lightweight architecture and external cladding applications, on its acquisition of Verseidag-Indutex from Jagenberg AG.
Germany’s Verseidag-Indutex, world leader in PTFE glass materials, operates on the high-quality technical textiles market in sectors such as tensile architecture, modular structures, solar protection, biogas and more. The firm employs close on 250 people at its four industrial sites in Germany and sales subsidiaries in Europe, the US, Middle East and Hong Kong.
Jagenberg AG, a member of German group Kleinewefers, is a holding company specialising in the mechanical engineering and technical textiles sectors.
The acquisition strengthens SergeFerrari’s position as a world leader in flexible composite materials on three of its priority markets, and also establishes the Group as a key player in the field of non-combustible solutions, an area of innovation that promise high added value.
SergeFerrari was advised by a team from DELSOL Avocats made up of Emmanuel KAEPPELIN, partner and co-head of the Corporate – Mergers & Acquisitions Department, Counsel Raphaël ORY and associates Caroline DA LAGE and Melanie DEBERNARDI. Counsel Séverine BRAVARD and associate Leslie d’ALASCIO advised on matters relating to structured financing.
The acquisition was handled in conjunction with German law firm BUSE HEBERER FROMM, a fellow-member of Telfa (the Trans-European Alliance of Law Firms).
With this, the latest in a number of cross-border deals (Italy, Switzerland, Germany, UK, US) the firm has advised on over the past 12 months, not to mention advising numerous foreign investors in France, DELSOL Avocats again demonstrates its dynamic performance in the field of international deals.
