DELSOL Avocats has advised Aubay, a digital services company working with major players in the banking, finance, insurance, industry, energy, transport and telecoms sectors, on its acquisition of Solutec. The transaction, announced on 27 May, has been finalised following the lifting of all conditions precedent, in particular the obtaining of authorisation from the French Competition Authority.

Solutec, which is based in Lyon and also has offices in Paris, Toulouse, Nantes, Bordeaux and Lille, supports key accounts in their digitisation projects, in activities similar to those of Aubay. Solutec employs more than 1,400 people and generated sales amounting to €112 million in 2024.

For Aubay, this transaction is an opportunity to establish its French activities in geographical areas where the group had little or no presence (Lyon, Toulouse, Lille) and to significantly strengthen areas such as Paris, Nantes and Bordeaux. The acquisition of Solutec will also add to Aubay’s client portfolio in sectors that were previously little or non-existent, such as energy, transport and retail, as well as strengthening certain positions in the banking sector.

DELSOL Avocats advised Aubay with a team including

  • Philippe Malikian, partner, and Pierre Tourret, associate, on corporate aspects ;
  • Stanley Miton, counsel, on competition matters ;
  • Anna Milleret-Godet, partner, on employment law issues ;
  • Séverine Bravard, partnher, and Alexandre Ménager, associate, on financing aspects.
